New shareholders adhere to the EQUITA Group Shareholders’ Agreement

EQUITA Group S.p.A. (“EQUITA Group” or the “Company”) announces that on May 28th, 2024, shareholders Paola Carboni and Silvia Foa have adhered to the EQUITA Group Shareholders’ Pact (the “Pact”), while the shareholder Gianmarco Bonacina has left the Pact. The Pact entered into force on August 1st, 2022, and was initially subscribed on February 10th, 2022, by 27 managers of the Company, all shareholders, followed by other 4 managers (two have adhered on September 27th, 2022, and two have adhered on December 21st, 2023). In addition to the change occurred to adherents, the Company also informs that the shares issued on May 23rd and entitled on May 24th, 2024, to Giuseppe Renato Grasso and Filippo Guicciardi (adherents to the Pact) as part of the total consideration related to the acquisition of the remaining minority stake of EQUITA Mid Cap Advisory (formerly EQUITA K Finance), were automatically included in the Pact. 

Following the changes abovementioned, today the Pact (relevant under Article 122, paragraphs 1 and 5, letters a) b), c) and d) of the TUF) counts No. 32 adherents and represents No. 18,302,620 ordinary shares of the Company (34.9% of the share capital) and No. 33,968,597 voting rights (46.6% of the total voting rights and 48.4% of the votes castable during the Shareholders’ Meeting).
