New shareholders adhere to the EQUITA Group Shareholders’ Agreement

Milan, December 22, 2023 - EQUITA Group S.p.A. (“EQUITA Group” or the “Company”) announces that on December 21st, 2023, shareholders Silvia Maria Rovere and Antonio Scarabosio subscribed to the EQUITA Group Shareholders’ Pact (the “Pact”). The latter was subscribed on February 10th, 2022, by 27 managers of the Company, all shareholders (with other two shareholders who adhered on September 27th, 2022), and entered into force on August 1st, 2022. It is worth noting that Ms. Rovere has joined the EQUITA partnership following the acquisition of a 30% minority stake in Sensible Capital S.r.l., independent real estate advisory boutique, completed by EQUITA on December 21st, 2023. The lock-up provisions provided by Art. 5) of the Pact shall not apply to Ms. Rovere, considering that on December 21st, 2023, she signed – directly with the Company – a different 3-year lock-up commitment on all EQUITA Group shares owned. Following the entry of the new shareholders, the Pact (relevant under Article 122, paragraphs 1 and 5, letters a) b), c) and d) of the TUF) represents today No. 16,856,986 ordinary shares of the Company (32.8% of the share capital) and No. 31,969,176 voting rights (44.7% of the total voting rights).
