Milan, November 25th, 2022 – Unidata – operator in the telecommunications, cloud and iot services, listed on the Euronext Growth Milan market of Borsa Italiana – and Gruppo TWT – one of the main players in Italy in the field of telecommunications and connection and communication services specialized in the B2B segment – announce that they have signed an agreement on the acquisition of 100% of the TWT Group by Unidata, to be finalized by mid-February 2023.

The transaction will allow Unidata to expand and develop its offer of connectivity services to corporate customers, also providing innovative solutions in the ICT field (in particular VoIP solutions, cloud-based services and housing and hosting services thanks to proprietary data centers).

The deal will also allow Unidata to diversify and strengthen its commercial offer by leveraging the channel of resellers present throughout Italy and the proprietary platform of the TWT Group dedicated to reseller channel customers, as well as expanding its geographical presence and entering new markets not covered by Unidata itself.

The acquisition is based on an Enterprise Value of the TWT Group of approximately €58 million. The TWT Group recorded consolidated revenues of c. €58.7 million, an EBITDA of c. €6.9 million and a net financial position of c. €13.9 million in 2021.

Gruppo TWT is one of the leading players in the field of telecommunications and connection and communication services (so-called “Information and Communication Technologies”), and boasts a particular focus on the B2B segment. With more than 33,000 direct and indirect customers, a Tier 3+ data center located at the Group's wholly owned headquarters in Milan (approx. 3,400 sqm), and a proprietary fiber optic network (approx. 100km) in the Milan area, the TWT Group saw its revenues in 2021 stand at €58.7 million.
