Milan, 24 May 2022 – Generali – one of the leading, global players in the insurance and asset management industry – announced that it has successfully completed the transaction for the purchase of Cattolica Assicurazioni shares launched last 23 May 2022.

The transaction, executed through a Reverse Accelerated Book-Building procedure (RABB), has led Generali to purchase more than 15 million shares of Cattolica Assicurazioni, equal to approximately 6.8% of its share capital. The purchase price of the aforesaid shares is equal to €6.75 per share, incorporating a premium on the closing price the day when Generali launched its offer (23 May 2022) equal to approximately 7.7%.

Considering the shares already owned by the offeror (equal to 84.5% of the issuer’s share capital), Generali’s stake in Cattolica Assicurazioni will increase above 90%.

Equita assisted Generali Group as appointed intermediary and sole bookrunner. This transaction confirms Equita’s role as financial advisor to leading financial institutions in Italy. In the recent past, in addition to the advisory to Generali in the public tender offer on Cattolica shares completed last November 2021, Equita successfully assisted Crédit Agricole Italia with its public tender offers on Credito Valtellinese shares and CA FriulAdria shares, AMCO in the acquisition of a Non-Performing Loans’ portfolio of MPS, Mediocredito Centrale in the acquisition of BP Bari and Intesa Sanpaolo with its public tender offer on UBI Banca shares.
